The purpose of this study is to examine our domestic legal and institutional problems impeding the overseas real estate development project financing from three perspectives and suggest their solutions. The first problem involves legal form of the project developer required for project financing, and the second problem involves the current tax system. And the third problem involves coordination of interests among the parties concerned with project financing.First all, the problem involving the legal form of the project developer specified in the current law is discussed. In project financing, the legal form of the project developer cannot only affect feasibility and risks of the project.
In other words, such legal form is closely related with lender's (financial institution's) preservation of credit as well as with coordination of interest among partie concerned. Then, how should such important issue or the legal form of developer be defined? The answer lies in the project itself. Namely, the characteristics of the project should be taken into consideration. A project developer exists usually for a certain period of time, which means that all profits generated should be distributed among owners and lenders upon completion of the project. Despite the legal form of the project is associated with numberous relationships of interest, our current law does not specify it.
Of course, if we narrow our scope, the form of corporation specified in our law may well befit the developer. However, while the current law puts various restrictions on corporations in terms of ruling structure or operation of the company, the developer tends to exercise a direct influence over the cash flow of the project company. And since the form of corporation tends to rely on diverse fund-raising methods, it is not deemed to befit the project financing. In order to solve such a problem, some argue that it would be necessary to use the limited responsibility company system or approach the problem in view of legislation.
However, since the limited responsibility company system has its own disadvantages, it is deemed most reasonable to enact a special law to allow for a company of special form. The second problem raised by this study involves the current tax system. Namely, such tax incentive as reduction and exemption of the corporate tax are not applied to all project companies but certain companies meeting some criteria, while the local taxes are reduced or exempt for a certain period of time.
In order to solve the problem, this study suggests that the government should review such aspects of the tax system as various tax reductions and exemptions, separate tax on dividend income, exemption of the capital gain tax for transfer of stocks, etc., and then, complement them. The third problem raised by this study involves a legal system for coordination of interests among parties concerned with the project financing. Since multiple parties have different interests in project financing, it is important to coordinate such interests, above all.
In order to solve such a problem, this study suggests that a special law and its enforcement regulation should be enacted to facilitate concerned parties' understanding of project financing and its concepts and thereby, help them raise funds and implement the project smoothly through systematic procedures and with reasonable contracts. As discussed above, this study addresses the problems involving the overseas real estate development project financing in legal and institutional terms and thereby, suggest their solutions.
This study may well be significant in that it examines the domestic legal and institutional problems suffered by our overseas real estate developers regarding project financing. However, this study may well be limited due to limited time and lack of literature. Namely, although a domestic company may face various legal and institutional problems in the nation where it develops a real estate even if it is supported by reformed domestic legal
