Real estate title trust arrangements create complex legal disputes in real estate auction and distribution proceedings because of the discrepancy between substantive ownership and registered title.
In particular, when title-trusted real estate becomes subject to a compulsory or voluntary auction, major legal issues arise concerning the attribution of auction proceeds and surplus distribution, the procedural standing of the title trustor in distribution proceedings, and the scope of post-distribution remedies. This study aims to examine the ownership and distribution of auction proceeds according to the different types of title trust, including bilateral title trust, three-party registered title trust, and contractual title trust, and to analyze the normative conflict between the Act on the Registration of Real Estate under Actual Titleholder’s Name and the Civil Execution Act.
For this purpose, relevant statutes, judicial precedents, and legal theories are reviewed, with particular emphasis on objections to distribution, third-party actions against execution, claims for restitution of unjust enrichment, claims for damages, and criminal liability for evasion of compulsory execution. The findings indicate that the attribution of auction proceeds from title-trusted real estate cannot be determined uniformly on the basis of registered title alone.
Rather, a comprehensive assessment must be made in light of the type of title trust, the good or bad faith of the seller, the timing of attachment or establishment of security rights, the reliance interests of execution creditors, and the stage of the distribution proceedings. Although distributions in auction proceedings are generally made on the basis of the registered titleholder, the substantive entitlement to the distributed amount and surplus does not necessarily become conclusively vested in the title trustee.
Depending on the stage of the auction proceedings, the actual right holder may seek remedies through a third-party action against execution, suspension of execution, or an action objecting to distribution. After the completion of distribution, remedies may still be pursued through claims for restitution of unjust enrichment or damages. Where a title trust is used as a means of concealing assets, making a sham transfer, fabricating debts, or creating a fictitious security interest, the possible application of the crime of evading compulsory execution must also be examined.
Accordingly, this study proposes the clarification of distribution standards for each type of title trust, the establishment of a stage-specific remedial system for actual right holders, strengthened scrutiny of fictitious claims and sham tenants in distribution proceedings, and a more systematic coordination between the Act on the Registration of Real Estate under Actual Titleholder’s Name and the Civil Execution Act.
