This article focuses on analysis with regard to the american title registration system, widely known as torrens title registration system named after Sir Richard Torrens who in 1858 invented registration of title in Australia. Once the buyers find a house they want to buy, they'll begin negotiating a perchase and sale agreement. Usually it's best to hire as attorney to do this, but in some states brokers are permitted to provide the service. In any event, the agreement will probably be done in terms of a form contract. After the contract has been signed by both parties, either the buyers or the seller will order the title search.
The buyers will also typically have an inspector visit the property and apply for a mortgage loan. The title company or lawyer who does the search will provide an abstract of title that will list any encumbrances (such as existing mortgages, liens, rights of way) as well as a listing of the preceding owners of the property. Assuming that the title abstract turn up nothing troubling, the transaction moves forward. If the buyers' application for a mortgage is approved by the lender, they are issued a mortgage commitment that is good for a specified period - typically a couple of months.
If all of the other contingencies are satisfied, the buyers and their seller proceed to the closing and transfer of title. An old doctrine says that when a buyer accepts a deed, the buyer is deemed to be satisfied that all the contractual obligations have been met. Thus the contract mergers into the deed, and the deed is deemed the final act of the parties expressing the terms of their agreement. The buyer can no longer sue the seller on promises in the contract of sale not contained in the deed, but must sue the seller on the warranties, if any, contained in the deed.
The merger doctrine is now in disfavor and is becoming riddled with exceptions when the buyer does not intend to discharge the seller's contractual obligation by acceptance of the deed. The usual way of avoiding the doctrine is to say the particular obligation of the seller is an independent or collateral obligation. The weaknesses of the recording system used in America are well known. Over 100 years ago, American legal scholars proposed replacing recording system with the Torrens system. But title insurance is developed because of the inadequacies and inefficiencies of the public records in protecting private titles.
Basically, title insurance guarantees that the insurance company has searched the public records and insures against any defects in the public records, unless such defects are specifically excepted from coverage in the policy. Since 1895, as many as twenty-one states in the US have enacted Torrens registration, but the system is used in only ten jurisdiction now. A principle reason why torrens system will not work well in US is the explosive growth of title insurance in the last 30years because all secondary-market purchasers of mortgage also require lender's title insurance.
