초록
With sluggishness in the construction industry and persistent slowness in real estate business activity during the course of the foreign exchange crisis of 1997, the Real Estate Investment Trust (REITs) system was introduced to Korea as a need arose to support the restructuring of the real-object economy to invigorate the sale of real estate through enterprise, financial institutions and construction firms. Thus, the government enacted 'the Real Estate Investment Trusts (REITs) Act' on March 8, 2001 applying foreign style systems including those of the U.S and thereafter, Revised Law No.
6483 as legislation incorporating 'the Corporate Restructuring Real Estate Investment Trust (CRREITs) Act' was promulgated on May 24 and enforced effective July 1. With the REITs system introduced, funds required for development are raised directly from small investors and institutional investors including banks so that sluggish construction business activity could be invigorated. In addition, information such as the status of real estate and price, through the introduction of the REITs, a developed real estate system, has been provided to ordinary investors, thus increasing the transparency of the real estate markets and promoting the stability of real estate prices in the long term.
In this way, the real estate markets will develop and become transparent so that secure investment products can be provided to institutional investors such as banks, pensions, funds and insurance firms, thereby expanding the size of the capital markets and providing a variety of investment products. This helps foster the capital market which is an advantage, so the law required revision.
But REITs did not become active until 9 years after the introduction of the system due to preconceptions of the government which was concerned about the overheated market and regulations on establishment and assets operations to excessively protect investors and also on inadequacy in support for the tax system. This study suggests the necessity to invigorate real estate investment firms. To achieve this, it suggests a way to improve the legal system for real estate investment firms after comparing REITs and similar indirect investment systems, and analyzing the same systems in the US, Australia, and Japan and by examining the current status of Korea's REITs and legal system.
First, existing recognition needs be to improved. A shift in recognition and publicity would be required to the effect that real estate not be the subject of speculation but that of investment activity. In addition, the government is stepping up competition in setting up an advanced national system through the capital market consolidation act and inducing the appearance of large professional investment financial institutions. In the process, policy maker recognition is important in establishing sophisticated systems incorporating such elements as competitive edge, professionalism and enlargement. Second, more tax support should be provided.
It is necessary to consider granting tax benefits to investors when real estate is assigned to real estate firms or investments are made in kind or in progressively accepting the American up-REITs and down-REITs system that allows deferment of tax impositions. In addition, it is also necessary to ensure equity in taxation for Self-managed Real Estate Investment Companies and Corporate Restructuring Real Estate Investment Trusts (CRREIT) and grant tax benefits to interest and dividend income from investments in REITs by small investors. Third, it is necessary to develop a variety of products that will increase the profitability of real estate assets.
Fourth, efforts should be made not only to nurture professional manpower in asset management to provide protection devices and bring in an advanced qualification system such as the American CCIM, but also to set up a comprehensive information infrastructure to enhance the transparency of real estate trading, and to elevate the fairness of the entity valuating real estate. Finally, for REITs to take root safely and soundly and become active in Korea, the role the government plays and the foundations of the resultant legal system will be most important.
In addition, what is most important would be that the real estate market settle down stably through the activation of real estate market trading, so that the market for indirect products can grow according to the capital market consolidation recently underway. Based on this, various indirect products circulate through REITs, providing liquidity, the biggest disadvantage for real estate, and then a normal real estate financial market can develop.
