Over the past 30 years, Korea’s real estate trust system has quietly but steadily played a pivotal role in the growth of the real estate finance market. In particular, land trusts have proven essential in coordinating the interests of developers, financial institutions, and construction firms in multilayered development projects, while minimizing uncertainty.
Though initially used merely as a means of funding, land trusts have gradually evolved into risk managers that assume responsibility for the entire development process, expanding their function and scale in parallel with the real estate sector’s growth. However, this expansion has masked structural limitations and latent risks, which have surfaced more clearly since the financial environment began to deteriorate in 2022. The real estate market is currently experiencing a severe downturn, marked by rapid interest rate hikes, economic stagnation, and mounting pressure from project financing (PF) loan repayments.
At the same time, increased market entry by new trust companies has intensified excessive competition. The financial authority’s promotion of new licenses, once aimed at revitalizing the industry, has backfired—triggering aggressive competition over market share and a race to the bottom in fee structures. These dynamics have weakened the financial soundness and risk management capabilities of individual firms, escalating what began as company-level concerns into structural threats to the industry’s long-term sustainability. At the core of these vulnerabilities are two high-risk trust products: the loan-based land trust and the completion-guaranteed management-type land trust.
The former involves direct borrowing by the trust company from financial institutions, transferring the full burden of losses onto the company if the project fails. The latter is even more precarious; if the contractor cannot complete construction due to financial difficulties, the trust company must fulfill the completion obligation, potentially incurring significant financial losses. As the market continues to decline, legal disputes and indemnity claims arising from these products are rapidly increasing, serving as a major source of instability throughout the real estate trust industry.
To overcome this multilayered crisis, a fundamental reform of the institutional framework governing real estate trusts is imperative. Foremost, the enactment of a dedicated “Trust Business Act” is essential. The current Capital Markets Act provides a generalized legal framework for various financial products but lacks the technical specificity required to regulate the complex and specialized nature of real estate trusts. In particular, land trusts involve intricately interconnected elements—such as leveraged structures, capital operations, and completion guarantees—which demand detailed legal oversight.
A new Trust Business Act would enable differentiated licensing standards, mitigate reckless market entry, clarify the allocation of risk among trust products, and enhance transparency and trust among market participants. Furthermore, comprehensive and principle-based risk management measures must be applied to high-risk products. For loan-based and completion-guaranteed trusts, leverage ratios and funding structures should be carefully controlled, while clear protocols for pre-approval and post-management must be established to prevent excessive risk concentration.
In tandem, reforms must ensure fair risk-sharing among participants, strengthen internal controls, and expand disclosure requirements. When combined with proactive and accountable oversight by the go
